Welcome to abciris.com operated by ABC Corp Pvt Ltd, a company incorporated in Kathmandu, Nepal (referred to as "ABC Corp", "us", "we", or "our"). Please read the Terms of Use carefully before using the website.

AGREEMENT TO TERMS

These terms and conditions “Agreement” constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and ABC Corp, concerning your access to and use of our services, including our various websites, such as abccorpnepal.com and abciris.com, applications, ads, communications, events, and any of the related products and services that link to these Terms (collectively, the "Site").

You agree that by accessing the Site, you have read, understood, and agree to be bound by all of these Terms of Use as well as our Privacy Policy available on the website. You acknowledge that this Agreement is a contract between you and the ABC Corp, even though it is electronic and is not physically signed by you, and it governs your use of the Services, creating a binding obligation for you. If you do not agree with all of these Terms of Use, then you are expressly prohibited from using the Site and you must discontinue use immediately.

Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Use at any time and for any reason. It is your responsibility to periodically review these Terms of Use to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms of Use by your continued use of the Site after the date such revised Terms of Use are posted.

  1. ELIGIBILITY

    The Site is intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Site. By using the Site and by agreeing to this Agreement you warrant and represent that you are at least 18 years of age.

  2. ACCOUNTS AND MEMBERSHIP
    • To access most of our services and features of the Site, you must register for an account and and provide certain personal data. You agree to provide accurate and complete information during the registration process, and to keep this information accurate and up-to-date at all times.

We will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions.
    • We may suspend, disable, or delete your account (or any part thereof) if we determine that you have violated any provision of this Agreement or that your conduct or content would tend to damage our reputation and goodwill.
    • When you set up an account to access the services, we create a profile for you that will include personal data you provide (a “Profile”).
    • We may update your Profile with information we obtain from third parties. We may also use personal data you provide to us via your resume(s) or our other services. You can read more about how we collect and process your data in our Privacy Policy.
    • Your profile or portions of your Profile may be visible to other users and the public depending on the services you use. We may also in certain circumstances allow you to share your Profile with third parties.

    By creating an account, you agree to accept and receive communications from ABC Corp, its affiliates and our third-party service providers.

    For the purposes of these Terms, “affiliates” means any entity that directly or indirectly controls, is controlled by, or is under common control of or with ABC Corp, now or in the future.

    These communications may be via email, text message, calls, push notifications, or otherwise. You understand and agree that you may receive telephonic communications by or on behalf of ABC Corp, its affiliates, and/or our third-party service providers, including communications concerning your account(s), our services, and services offered by our affiliates. Unless you choose to delete your account(s), you cannot unsubscribe from certain communications that are required as part of your use of our services.

  4. SERVICES

    We offer a variety of services that may change from time to time, at our sole discretion.

    • Whether or not you’ve set up an account on our services, if you use our services we may process your personal data. We describe how we may use your personal data in our Privacy Policy. This includes personal data we use to offer or provide our services to you, our customers, other users, and the public, as well as to manage and improve our services. We also collect and share personal data with third party service providers acting on our behalf, including providers of analytics services that may record or log your activities on our services, including text you enter, pages you visit, and features you interact with. By using our services, you agree to this data processing and sharing.
    • We may provide you with the ability to research jobs, including via search functionality and through personalized ads and recommendations. We may also allow you to submit job applications via our services. We work with our affiliates to provide this service. When you click the apply (or a similar) button to submit an application, your application is sent to the most appropriate contact information we and/or our affiliates have on file for that employer.
    • While we and our affiliates endeavor to make this service the best it can be, employer websites and their service providers are not controlled by us, and we cannot guarantee that your application will be properly received and logged by any third-party employer upon transmission. If you have any reason to think your application was not received by an employer, we suggest you contact them directly to confirm.
    • ABC Corp does not guarantee the identity of an employer or any individuals working for any employers, and therefore advises users to exercise caution when applying to jobs. We do not guarantee the validity of a job offer; users should verify the validity of a job offer before taking adverse action regarding their current employment situations. You are solely responsible for verifying the accuracy of any employer or job offer.
  5. USER CONTENT

    You shall be solely responsible for your use of the services and any content, including but not limited to logos, advertisements, reviews, ratings, comments, opinions, postings, resumes, salaries, messages, questions, text, files, images, works of authorship, e-mail, data, audio, video, and other materials (collectively "User Content") that you post or submit to the Site. You shall have sole responsibility for the accuracy, quality, integrity, legality, reliability, appropriateness, and intellectual property ownership or right to use of all submitted Content.

    However, by posting User Content on the Site, you grant ABC Corp a non-exclusive, worldwide, royalty-free, unrestricted, irrevocable, perpetual, fully-paid, transferable, and sublicensable right to use, display, reproduce, modify, adapt, publish, translate, transmit, perform, display, create derivative works of, adapt, and distribute your User Content in any and all media (now known or later developed) throughout the world and display your name, images, voice, video, and any such other Content that you submit, link, or otherwise make available through the services, throughout the world in any manner or media, on or off the services for any purpose, including without limitation, for promoting and marketing the Website and its services.

  6. CONTENT REVIEW AND REMOVAL

    ABC Corp reserves the right, but is not obligated, to review, monitor, edit, or remove any User Content that we deem, in our sole discretion, to violate these Terms of Use, or that is otherwise objectionable or inappropriate.

  7. SUBMISSIONS

    You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, reviews, documents, feedback, and/or proposals, (collectively, “Submissions”) provided by you to us are non-confidential and shall become our sole property.

    We shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.

    You hereby waive all moral rights to any such Submissions, and you hereby warrant that any such Submissions are original with you or that you have the right to submit such Submissions. You agree there shall be no recourse against us for any alleged or actual infringement or misappropriation of any proprietary right in your Submissions.

  8. PROHIBITED ACTIVITIES

    You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

    • except as may be the result of standard search engine or internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Site, or using or launching any unauthorized script or other software.

    We reserve the right to terminate your use of the Site for violating any of the prohibited uses. If any liability arises due to the above-mentioned reasons, then the user agrees to take full responsibility.

Additionally, you shall hold us harmless from any losses sustained by you or harm caused to you relating to or resulting in any way from any Third-Party Content or any contact with Third-Party Websites.

  11. Special Provisions Applicable to advertisers

    We allow advertisers to display their advertisements and other information in certain areas of the Site, such as sidebar advertisements or banner advertisements. If you are an advertiser, you shall take full responsibility for any advertisements you place on the Site and any services provided on the Site or products sold through those advertisements.

    Further, as an advertiser, you warrant and represent that you possess all rights and authority to place advertisements on the Site, including, but not limited to, intellectual property rights, publicity rights, and contractual rights.

  12. Special Provisions Applicable to Employers and Enterprise Customers

    You may not post any job ad, as determined solely by ABC Corp, that:

    • Does not comply with the applicable laws or regulations of the country.
    • Contains false information or solicits employees by intentional misrepresentation, such as, misrepresentation of the terms of employment, the hiring entity, or the identity of the poster;
    • Contains any logo or brands, or link to websites, other than your own or those of any entity for which you are authorized to submit job ads;
    • Discriminates against applicants on the basis of gender, race, religion, sexual orientation, age, disability, or any other ground(s) prohibited by applicable law.

    You agree that ABC Corp may, at its sole discretion, remove or prevent the posting of any job ad for any or no reason.

  13. INTELLECTUAL PROPERTY RIGHTS

    Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, designs and graphics on the Site, the trademarks, service marks, and logos (collectively “Intellectual Property”) contained therein are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of Nepal, foreign jurisdictions, and international conventions.

    This Agreement does not transfer to you any Intellectual Property owned by ABC Corp or third parties, and all rights, titles, and interests in and to such property will remain (as between the parties) solely with ABC Corp. All trademarks, service marks, graphics and logos used in connection with the Site, are trademarks or registered trademarks of ABC Corp or its licensors. Other trademarks, service marks, graphics and logos used in connection with the Site may be the trademarks of other third parties. Your use of the Services grants you no right or license to reproduce or otherwise use any of the ABC Corp or third-party Intellectual property. You agree not to use, modify, distribute, or create derivative works based on the content without the express written consent of ABC Corp.

  14. LIMITATION OF LIABILITY

    To the extent permitted by applicable law, in no event will ABC Corp , its affiliates, directors, officers, employees, agents, suppliers or licensors be liable to any person for any direct, indirect, incidental, special, punitive, cover or consequential damages (including, without limitation, damages for lost profits, revenue, sales, goodwill, use of content, impact on business, business interruption, loss of anticipated savings, loss of business opportunity) however caused, under any theory of liability, including, without limitation, contract, tort, warranty, breach of statutory duty, negligence or otherwise.

  15. INDEMNIFICATION

    You agree to indemnify, defend and hold ABC Corp and its affiliates, directors, officers, employees, agents, suppliers and licensors harmless from and against any liabilities, losses, damages or costs, including reasonable lawyers' fees, incurred in connection with or arising from any third party allegations, claims, actions, disputes, or demands asserted against any of them as a result of or relating to your Content, your use of the Site or any willful misconduct on your part.

  16. GOVERNING LAW AND DISPUTE RESOLUTION

    These Terms of Use shall be governed by and construed in accordance with the laws of Nepal. Any dispute arising out of or in connection with these Terms of Use shall be submitted to the exclusive jurisdiction of the courts of Nepal.

  17. MODIFICATIONS AND INTERRUPTIONS

    ABC Corp reserves the right to modify these Terms of Use and contents of the Site at any time or for any reason at our sole discretion without notice. Your continued use of the Site after such modifications will constitute your acceptance of the revised Terms of Use.
